Bored out Cat

Ok, SAY I have a 99 V6 with a CAT that is goin...and SAY that this truck has
a cat back exhaust, bored TB and K&N intake, and SAY that instead uf paying
for a new CAT I simply empty the contents of the current one and leave the
shell on:

2 questions:

Will low end loss be too much?
Will the truck pass emissions?

I suppose this THEORETICAL question is for those who THEORETICALLY have done
it, or are in the know.
