Shaun,

Choosing between the two, I'd opt for the side exit before the tires.
Pointing it down underneath the truck will probably make it resonate off
the truck bed and the noise may or may not be acceptable to you. At
least with the side exit, you'll cut down the cab noise.

No reason either choice won't be legal as long as you retain the cat.
Course you could have one of those little driveway accidents with a jack
stand and then you're looking at a high flow cat to go along with
that<g>.
